Infinity Fabric LLC T&C Invoices
1. General Provisions
1.1 These Terms and Conditions for Invoices govern all invoices issued by Infinity Fabric LLC and apply to all transactions with clients, whether domestic or international.
1.2 By engaging in a business relationship with Infinity Fabric LLC, the client agrees to these terms.

2. Invoice Requirements
2.1 All invoices issued by Infinity Fabric LLC will include the following mandatory details in compliance with Dutch and EU regulations:
- Full name, address, and VAT identification number of Infinity Fabric LLC.
- Full name, address, and VAT identification number (if applicable) of the client.
- Unique invoice number and date of issuance.
- Date of service or goods delivered (if different from invoice date).
- Detailed description of goods or services provided.
- Unit prices, any applicable discounts, and the VAT rate applied (if applicable).
- Total amount payable, specifying amounts excluding and including VAT.
3. Payment Terms
3.1 Payment is due within 30 calendar days from the invoice date unless otherwise agreed in writing.
3.2 Payments must be made via bank transfer to the designated account of Infinity Fabric LLC as indicated on the invoice.

4. Late Payment and Interest Charges
4.1 If payment is not received within the specified term, statutory commercial interest will apply in accordance with Dutch Civil Code (Article 6:119a BW) as follows:
- For B2B Transactions: 12% per annum (as of 1 July 2023, subject to updates by Dutch law).
- For Consumer Transactions: 6% per annum.
4.2 Interest will be calculated from the day after the due date until full payment is received.
4.3 If a contractual interest rate is agreed upon in writing, that rate will apply, provided it remains within legal limits.
5. Late Payment Collection Fees
5.1 In the event of non-payment beyond 30 days, additional administrative and legal collection costs may be charged in accordance with Dutch statutory regulations (Wet Incassokosten - WIK).
5.2 These collection costs are calculated as follows:
- 15% of the principal amount for the first €2,500.
- 10% for the amount between €2,500 - €5,000.
- 5% for the amount between €5,000 - €10,000.
- 1% for the amount over €10,000, capped at €6,775.
6. VAT and Tax Compliance
6.1 For domestic transactions (within the Netherlands), the applicable VAT rate will be added to the invoice unless a VAT exemption applies.
6.2 For EU cross-border transactions, the reverse charge mechanism will be applied if the client provides a valid VAT number, shifting the VAT responsibility to the client.
6.3 For transactions outside the EU, VAT will not be charged unless Dutch tax laws require otherwise.
6.4 Clients are responsible for ensuring compliance with their respective tax authorities regarding VAT obligations.

7. Disputes and Invoice Adjustments
7.1 Any disputes regarding an invoice must be submitted in writing to Infinity Fabric LLC within 14 days of receipt.
7.2 If a dispute is raised, the client must still pay the undisputed portion of the invoice within the agreed payment term.
8. Data Protection and Confidentiality
8.1 Infinity Fabric LLC complies with the General Data Protection Regulation (GDPR) and Dutch data protection laws.
8.2 All client information provided for invoicing purposes will be securely stored and processed only for accounting and tax compliance purposes.

9. Governing Law and Jurisdiction
9.1 These terms are governed by Dutch law and applicable EU regulations.
9.2 Any disputes arising from these terms shall be settled exclusively in the competent courts of Middelburg, the Netherlands.

10. Amendments to These Terms
10.1 Infinity Fabric LLC reserves the right to update these terms as required by changes in Dutch and EU regulations.
